Welcome to the website of NanoKar Therapeutics, Inc. (“NanoKar,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of www.nanokartherapeutics.com and any related subdomains, pages, or content (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

NanoKar does not warrant that the Site will be free of viruses, malware, or other harmful components, or that defects will be corrected. You are responsible for implementing appropriate safeguards to protect your systems and data.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NANOKAR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF NANOKAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NANOKAR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so the above limitations may not apply to you in full.
9. Indemnification
You agree to indemnify, defend, and hold harmless NanoKar and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Venue
These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

NanoKar may modify these Terms at any time by posting an updated version on the Site. The “Effective Date” at the top of these Terms will indicate when the latest changes took effect. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Termination
NanoKar may suspend or terminate your access to the Site at any time, for any reason, without notice or liability. All provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall survive.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
15. Entire Agreement
These Terms, together with the Privacy Notice and any other legal notices published on the Site, constitute the entire agreement between you and NanoKar regarding the Site and supersede any prior agreements or understandings.
16. No Waiver
NanoKar’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
